Practice

Wendy started her career as a legal officer in a foreign bank in 1979. In the last four decades as a practising solicitor, she has accumulated a wealth of experience, giving her a bird's eye view of legal issues and enabling her to provide holistic advice and effective solutions for her clients.

Wendy is a qualified trust practitioner (TEP), a full member of the Society of Trust & Estate Practitioners. She sits on the board of the Singapore chapter of an international charity and on the board of a local charity with Institution of Public Character (IPC) status.

Wealth, succession, trusts and philanthropy

Wendy assists and advises:

  • Professional trustees and trust companies on matters relating to their business, including preparation and review of trust deeds and related documents, regulatory requirements and compliance.
  • Individuals on inter-generational wealth transfer and asset protection strategies and family governance, including setting up family trusts, family constitutions or deeds of family arrangement, single family office structures and support, tax exemption applications under the Singapore Income Tax Act, and assisting in their implementation.
  • Charities on establishment, governance, regulatory requirements and compliance.

Financing, corporate and commercial law

Wendy advises and assists:

  • Lenders and borrowers, institutional and individual, on various financing arrangements including loan syndication, note issuance facilities, and project and mortgage financing.
  • Banks and financial institutions in the preparation of their standard loan and security documents.
  • Entrepreneurs whose businesses are start-ups or operating companies, and entrepreneurs working to list their shares on exchanges. She actively supports clients in their pre-IPO restructuring and post-IPO corporate governance matters.
  • Corporate clients on contractual matters pertaining to their businesses, including mergers and acquisitions, restructuring of business entities, and agreements among shareholders.

Regulatory compliance

Wendy's team handles corporate secretarial and regulatory compliance work for Singapore subsidiaries or group companies of companies listed on exchanges in other countries, including the New York Stock Exchange, the National Stock Exchange of India, the Kuala Lumpur Stock Exchange, NASDAQ and the Tokyo Stock Exchange.

Real estate

Wendy's experience spans retail conveyancing to advising developers in the purchase and development of land, including structuring the loans for land and construction costs. She is a pioneer in the privatisation of Housing and Urban Development Company (HUDC) estates in Singapore.
